Bye-Laws of DEWA

MEMORANDUM OF ASSOCIATION:
1. Name of the Society: The name of the Society shall be “Dhobi Employees Welfare Association” (D.E.W.A.)
2. Registered Office : The registered office of the society shall be situated in the Union Territory of Delhi and at present it is at the following address: E-279, Naraina Vihar, New Delhi-110028.
3. Aims and Objectives of the Society: The aim and objects for which this society is established are as under:
A. Promote cooperation, coordination and brotherhood among the members of the community.
B. to eradicate social evils pregailing in the community by persuation, mutual understanding and social means.
C. To undertake activities for social, educational and economical upilftmart of the community.
D. To do all things incidental and make all efforts to achieve the objective of the Association.
N.B. It is a non-political organisation and shall not be affiliated to any political party.
4. All the incomes, earnings, moveable and or Immoveable properties of the Society shall be solely utilised and applied towards the promotion of its aims and objects only as set forth in this memorandum of the Association and no portion thereof shall be paid or transferred directly or indirectly by way of dividends, bonus, profit or any manner, whatsoever, to the present or part members of the society or to any person or persons claiming through any one or more of the present or the past members. No members of the Society shall have any personal claim or any moveable and / or immovable properties of the Society or make any profit whatsoever, by virtue of his membership.
5. Governing Body:
The names, addresses; occupations and designations of the present members of the Governing Body to whom the management of the society is entrusted as required under section 2 of the Societies Registration Act of 1960, as applicable to the Union Territory of Delhi are as follows:-

We the undersigned are desirous of forming a society namely ‘Dhobi Employees Welfare Association (D.E.W.A.)’ under the Society Registration Act of 1960 as applicable to the Union Territory of Delhi in pursuance of this Memorandum of Association of the Society.

RULES & REGULATIONS
1. Name of the Society: The Name of the Society shall be DHOBI EMPLOYEES WELFARE ASSOCIATION (D.E.W.A.)
2. MEMBERSHIP
i. Membership Defined
A person shall acquire the membership and be called a Member of the Association on acceptance of the his membership Application by the President in consultation with the Executive Committee and on payment of admission fee and Membership Subscription.
A member is required to give a declaration to the fact that he/she does not belong to any Political Party.
A member is also required to furnish an oath of allegiance to Association.
ii. Admission to and Qualifications for Membership Membership to the Association shall be open to the Employed other than self employed members of DHOBI COMMUNITY.
Retired, unemployed or self employed members of the community may be allowed to participate as Associate Members in the activities of the Association provided that,
i. Such person shall not be a member of any Political party or any society, the aims and objectives of which are contradictory to D.E.W.A.
ii. A person seeking admission to the association shall make a application in the prescribed proforma as per Annexure-I.
iii. Subscription : Subscriber will be Rs. 5/- per month.
iv. Cessation of Membership and Re-Admission: A Member shall ceased to be the member of the Association in the following events:
i. Cessation in employment
ii. On resignation from the Association
iii. On death/insanity.
iv. On termination of Membership from Association.
v. On suspension of Membership from the Association.
NOTE: Resignation: Any member may tender resignation in writing addressed to the President of the Association. It shall generally be accepted by the President and a report to that effect shall be submitted to the Executive Committee and General Body in immediate next meeting separately.

Termination: Membership of a member may be terminated by the President after a resolution approved by the Executive Committee by simple majority if:
a. Member fails to pay the subscription for 3 months despite allowing him reasonable opportunity and a period of 3 months to pay the arrears of the subscription.
b. Member conceals some material information at the time of acquiring Membership.
c. Member furnishes false declaration at the time of acquiring Membership,
d. Member ceases to have interest in the activities of the Association or undertake such activities which brings bad name to the Association.
e. Member commits such an offence which is not covered from a to d above and which is considered to be sufficient ground on which the membership may be terminated. For terminating membership under this provision a resolution is to be approved by the 2/3rd majority of the Executive Committee.

Expulsion: A member shall be expelled by the President for undertaking such activities that are deterimental to the interest of the Association and/or contrary to the aims and objectives of the Association Gross failure to conform to the rules of the Association is a sufficient ground on which member can bs expelled. For expulsion of a member a resolution is required to be passed by Executive Committee by 2/3rd majority. A member against whom expulsion proceedings are initiated shall also bo allowed an opportunity to plead his case only by himself before the General Body.

Re-Admission: Any member who ceases to be the member of the Association for the reasons mentioned at (ii). (iv) of sara iv above may be readmitted that such a member apply afresh in the Prescribed form (annexure-III) and allowed by the President in consultation with the Executive Committee. A member whose membership is terminated for non-payment of subscription may be enrolled again only when he clears the arrears. No re-admission shall be allowed in cases where member does not remain in service, joining political party suppressing any material fact and submitting false information.
Rights and Privileges of Members: a.Each member other than an associated member of the Association is a Member of the General Body and shall have right to contest the election for office bearer and cast vote in such election.
b. Each member other than associated member shall have equal right to enjoy the benefits accrued out of the Association to the Members.
c. Each other than associate member shall have equal right to enjoy the benefits accruad out of the Association to the Members.
General Body
i. General Body defined: General Body shall be comprised of all members, other than associated mémbers, of the Association.
ii. Powers and Duties/ Functions of General Body a. Supreme authority shall vest in General Body,
b. It shall determine the policies and approve the annual budget of the Association.
c. It shall exercise full control over the finances and Property, moveable as well as immovable of the Association.
d. It shall elect office bearers i.e, President, Two Vice Presidents, Secretary General, Assistant Secretary General and Treasurer.
e. It may remove any or all office Bearers before the expity of terms of office on loss of faith, establishment of serious Misconduct establishment of violation of rules and regulations, establishement of charge of working against the interest of showing apathy towards aims and objects of the Association.
f. It shall elect members of the Executive Committee i.e. one member for each Zone.
h. It shall approve the rules and regulations and amendments thereto framed/suggested by the Executive committee,
i. It may be constitute an advisory Body on specific or General issues.
j. It shall adopt its oun rules of procedure for conduct of business.
k. It shall define from time to time the zones where from Members of the Executive Committee are to be elected.
iii. Quroum and Notice of meetings and periodicity of meetings. a. It shall meet twice a year i.e. January/February and June/July.
b. Extra Oridinary Session/sessions of it may be conveyed by the President on receipt of any requisition by atleast of any members of the total strength of the Association or on adopting a resolution by 2/3rd majority of the Executive Committee for consideration of specific and urgent issues,
c. Quroum for conducting the meeting shall be 1/4th of the total membership.
d. All members shall have aqual right to vote, The President shall have only casting vote.
Managing/Governing Body:
i. Managing/Governing Body defined There shall be a Governing Body known as Executive Body.
ii. Compection: (1) President: One
(2) Vice President: Two
(3) Secy. General: One
(4) Asstt. secy.: One
(5) Treasurer: One
(6) Members: Twenty Four
iii. Minimum and maximum strength including office bearers Its minimum strength shall be six and maximum shall be 30. (Maximum menber of nominated members shall not be more than five members).
iv. Election and its Mode At every first session of the year General Body shall
a. Elect all office Bearers besides one from each zone as the member of the Executive Committee. The mode of Election shall be by Ballot System.
b. President in consultation with Executive Body may nominate upto five persons to the Executive Committee either at the first session of Executive Committee any time thereafter.
v. Term of Office: The term of Executive Committee shall initially be two years and one year thereafter.
In case of dessolution of Executive Committee a fresh election shall have to be arranged forthwith and till now Executive Committee is elected, the office bearers of the old Executive committee shall continue to run the affairs of the Association as care taker Executive Committee.
Executive Committee shall not be dissolved unless General Body approves such dissolution with 2/3rd majority present and voting and 50% at total membership.
vi. Powers and duties functions of the Managing/Governing Body: a. It shall be responsible for policy formulation, and implementation of adopted policies of the Association.
b. It shall consider and decide the case of admission/ramoval/termination/expulsions of members,
c. It shall adopt its own rules of procedures,
d. It may amend any of the rules and regulations.
e. Its prior approval is necessary for acquiring/disposing any of the movable/immoveable or both properties.
f. It may appoint sub committee and define the life, terms of reference and other allied matters of the sub-committee.
g. It shall make and amend rules for administration of funds, conduct of business rules of the Association, allocation of Business Rules, election Rules and any other Rules considered to be necessary from time to time.
All rules framed or amendments approved by the Executive committee shall come into force only when approved by at least 3/5 members present and voting in General body.
Duties and Powers of Office Bearers of the Executive Body
President: Shall preside over the meetings of the General Body and the Executive Body to lead all delegations in meetings, have access to all records of the Association and have powers to pass vouchers upto Rs. 100. (Rupees one hundred only).
Vice President: Shall preside over the meetings in the absence of the President.
Vice President II: Shall preside over the meetings in the absence of the President and Vice President I.
Secretary General: Shall be incharge of the Secretariat of the Association, shall call meetings of Association in consultation with the President/Vice-Presidents, shall be the maln coordinating link in all the activities of the Association in the pursuit-of its aims and objectives. Entire correspondence of the Association shall be made by the Secratary Ganeral which will be in the interest of furtherance the activities of the Association.
Asstt. Secretary General: Shall assist the Secretary General in day today activities of the Association.
Treasurer: Shall maintain the accounts of the Association and shall get the same audited. Shall place the audited annual Financial Statement duly signed by the President and Secretary General duly approved by the Executive Body in the annual ganeral body meeting. Shall operate the accounts of the Association in a Schedulad Bank jointly with the signsture of the President and Secretary General.
Executive Body Members: Shall be jointly responsible for all the decisions taken by the Executive Body and their implementation.
viii. Quorum and Notice of Meetings: a. Quorum to hold the meetings of the Executive Committee shall be one third of the total membership.
b. Executive Committee shall meet once a month and date and venue of the noxt meeting shall be decided at ths conclusion of the meeting.
c. Normally 20 days notice is required to be given for holding the meeting in case date and venue is not decided as mentioned in (b) above,
d. Emergency meeting of Executive Committee may also be convened by the President when a request for that is made by at least one-fourth of the member of Executive Committee or decided otherwise by the President either on the request of Secretary General or at his own will if he is satisfied that there is emergency/urgancy to convene such a meeting.
ix. Filling up of casual vacancies: Any vacancy occurring in the Executive Committee shall not be filled up if fresh Executive Committee is due for an election within three months. Otherwise, Président in consultation with existing Executive Committee may nominate a person from this the same zone from which vacancy had occurred, to fill up the vacancy.
Sub-Committee(5) If any
Formation, Composition, Duties and Functions: Its formation, composition, life, duties and functions shall be decided by the Executive Committee as and when such committse(s) are/is appointed.
Sources and Income and Utilisation of Funds: 1. Sources of income of the association shall be.
a. Membership subscription and admission fee.
b. Donations, Charity, Gifts, Aids, Grants and Loan Assistance.
c. Money generated out of Associations own assets, property, etc.
d. All funds of the Association shall be utilised in the manner as laid down in the financial rules and for the purpose of fulfilling its aims and objectives.
Financial Year of Audit/Accounts: Financial year shall be from first January to 31st December.
The accounts of the Association shall be audited by any member or a Committee of members of the Association as appointed by the General body at the first session every year. Once in three years, its accounts may be got audited by an external auditer or any person appointed by the General Body if general body desires so by passing a resolution to that effect with the approval of 50% of the total members.
Operation of Bank Accounts: Bank accounts shall be operated by the treasurers and one of the office bearers as authorised by the Executive Committee from time to time and in the manner as laid down in the financial rules.
Annual List of Managing/Governing Body (Section 4 of the Act): Once in every year a list of the office bearers and members of the Managing/Governihg body shall be filed with the Registrar of Societies, Delhi as required under section 4 of the Societies Registration Act, of 1860, as applicable to the U.T. of Delhi.
Legal Proceedings (Section 6 of the Act): The society may sue or he sued in the name of the President as per provisions laid down under section 6 of the S.R. Act, 1860 as applicable to the U.T. of Delhi.
Amendment: (Alteration, extension or abridgement) of ‘Purposes' (Aims and objects) or change of name, Section 12 and 12(a) of the S.R. Act, of 1860 as applicable to the U.T. of Delhi. The amendment in the memorandum shall be made under this section.
Dissolution and Adjustment of Affairs: If the society need to be dissolved it shall be dissolved as per provison laid down under Section 13 and 14 of the S.R. Act of 1860 as applicable to the Union Territory of Delhi.
Application of the Act: All the provisions under all the section of the Societies registration Act, of 1860, as applicable to the Union Territory of Delhi, shall apply to this society.
